Partner Program Terms

1. Overview

These Partner Program Terms ("Partner Terms") govern your participation in the PlacementFlow Partner Program. By selecting a commission tier and checking the acceptance box, you agree to be bound by these Partner Terms in addition to our general Terms of Service.

The PlacementFlow Partner Program allows you to earn commissions by referring recruitment agencies to PlacementFlow. These terms define the commission structures, payment processes, and your obligations as a partner.

2. Commission Tiers

PlacementFlow offers the following commission tiers:

2.1 Option A — 10% Lifetime

  • You earn 10% commission on every payment made by your referred agencies
  • Commission continues for the entire lifetime of the referred agency's subscription
  • No time limit on commission eligibility

2.2 Option B — 20% for 12 Months

  • You earn 20% commission on payments made by your referred agencies
  • Commission is payable for the first 12 months after each referral converts to a paying customer
  • After 12 months per referral, no further commission is earned from that referral

2.3 Sales Partner — 30% Lifetime

  • You earn 30% commission on every payment made by your referred agencies
  • Commission continues for the entire lifetime of the referred agency's subscription
  • This tier is available by application only and requires PlacementFlow admin approval
  • Sales Partners must handle the full sales cycle (demos, closing) and provide ongoing customer success support

2.4 Tier Selection

Your tier selection (Option A or Option B) is permanent. Once you select a tier, it cannot be changed without contacting PlacementFlow support. PlacementFlow reserves the right to approve or deny tier change requests at its sole discretion.

2.5 Partner Subscription Discount

Partners who are also PlacementFlow customers are eligible for a subscription discount matching their commission tier:

  • Option A Partners: 10% off your PlacementFlow subscription
  • Option B Partners: 20% off your PlacementFlow subscription
  • Sales Partners: 30% off your PlacementFlow subscription

To qualify for the discount, you must have referred at least one agency that has converted to a paying customer. The discount is applied automatically to your subscription after your first referral converts.

The discount will be immediately revoked if your partner account is deactivated for any reason, including violation of these Partner Terms. If your partner tier is changed, the discount percentage will be updated to match your new tier. The maximum discount is 30% — no arrangement can result in free or near-free access to PlacementFlow services.

3. Attribution Window

When a prospective agency signs up using your referral code or link, the referral is attributed to you for a period of 60 days (the "Attribution Window").

  • If the referred agency becomes a paying customer within 60 days of using your referral code, you earn commission on their payments
  • If the referred agency does not convert within 60 days, the attribution expires and no commission is owed
  • Attribution is tracked from the moment the referral code is used during signup

4. Clawback Period

All commissions are subject to a 90-day clawback period from the date of the underlying payment.

  • Commissions remain in "pending" status for 90 days after the payment is received
  • If the referred agency requests a refund, cancels, or disputes the charge within 90 days, the commission will be clawed back (reversed)
  • After 90 days, commissions move to "eligible" status and qualify for payout
  • Clawbacks may also apply if the referral is found to violate these Partner Terms

5. Payouts

5.1 Minimum Payout Threshold

You must accumulate at least £50 (fifty British pounds) in eligible commissions before a payout can be requested or processed.

5.2 Payment Methods

Payouts can be made via:

  • Bank Transfer — direct deposit to your bank account
  • PayPal — payment to your PayPal email address
  • Stripe Connect — automated payment via Stripe (where available)

You are responsible for providing accurate payment details. PlacementFlow is not liable for payments sent to incorrect details provided by you.

5.3 Payout Schedule

Payouts are processed manually by PlacementFlow. We aim to process eligible payouts on a monthly basis, but PlacementFlow does not guarantee specific payout dates. You will be notified when a payout is approved and processed.

5.4 Taxes

You are solely responsible for reporting and paying any taxes owed on commissions earned through the Partner Program. PlacementFlow does not withhold taxes on partner payouts. You may be required to provide tax identification information upon request.

6. Partner Obligations

As a partner, you agree to:

  • Represent PlacementFlow honestly and accurately in any promotional activities
  • Not engage in spam, misleading advertising, or deceptive practices to generate referrals
  • Not use paid advertising to bid on PlacementFlow branded keywords without prior written approval
  • Not use your own referral code to sign up for PlacementFlow, refer your own agency, or refer agencies associated with your employees or contractors. Self-referral is technically prohibited and will be automatically blocked. Attempted circumvention will result in immediate partner deactivation and forfeiture of all unpaid commissions.
  • Not create referrals using fake accounts or any form of referral fraud
  • Comply with all applicable laws and regulations, including CAN-SPAM, GDPR, and local advertising standards
  • Disclose your partner relationship when promoting PlacementFlow where required by law or regulation

7. Prohibited Practices

The following activities are strictly prohibited and may result in immediate termination of your partner account and forfeiture of unpaid commissions:

  • Creating fake or fraudulent referrals
  • Using your own referral code to refer yourself or your own agency ("self-referral")
  • Using cookie stuffing, malware, or other deceptive technologies
  • Offering kickbacks or rebates to referred agencies in exchange for signups
  • Making false or misleading claims about PlacementFlow's features, pricing, or capabilities
  • Referring agencies you know to be fraudulent or non-genuine businesses
  • Violating any applicable laws in connection with your referral activities

8. Referral Codes

  • Each partner receives a unique referral code upon joining the program
  • Referral codes are auto-generated and cannot be customised
  • You may share your referral code or referral link freely, subject to the obligations above
  • PlacementFlow may deactivate your referral code at any time if you violate these terms
  • Referral codes are non-transferable

9. Termination

9.1 By You

You may withdraw from the Partner Program at any time by contacting hello@placementflow.com. Eligible commissions earned before withdrawal will still be paid out, subject to the minimum payout threshold and clawback period.

9.2 By PlacementFlow

PlacementFlow may terminate your participation in the Partner Program at any time, with or without cause, including but not limited to:

  • Violation of these Partner Terms
  • Engaging in prohibited practices
  • Inactivity (no referrals for 12+ months)
  • Discontinuation of the Partner Program

Upon termination for cause, PlacementFlow reserves the right to withhold unpaid commissions. Upon termination without cause, eligible commissions will be paid out as normal.

9.3 Sales Partner Performance Requirements

Sales Partners are held to higher standards commensurate with their higher commission rate (30%). Continued eligibility for the Sales Partner tier requires:

  • Minimum referral activity: Sales Partners must generate at least 3 qualified referrals per calendar quarter
  • Sales cycle ownership: Sales Partners must handle the complete sales process including product demonstrations, prospect qualification, and deal closing
  • Customer success support: Sales Partners must provide ongoing onboarding assistance and account management to their referred agencies
  • Responsiveness: Sales Partners must respond to referred agency inquiries within 2 business days

9.4 Sales Partner Tier Downgrade

If a Sales Partner fails to meet the performance requirements outlined in Section 9.3:

  • After 2 consecutive quarters of non-compliance, PlacementFlow will issue a written notice of non-compliance via email
  • The Sales Partner will have a 30-day remedy period from the date of notice to demonstrate renewed compliance
  • If compliance is not restored within the remedy period, PlacementFlow may downgrade the partner to Option A (10% Lifetime) or terminate the partnership entirely
  • Commission rate changes resulting from a downgrade apply only to new referrals made after the downgrade date; existing referrals retain their original commission rate
  • In cases of material breach of Sales Partner responsibilities (e.g., abandoning referred agencies, misrepresentation of PlacementFlow), PlacementFlow may revoke Sales Partner status immediately without a remedy period

A downgraded partner may reapply for Sales Partner status after a minimum of 6 months by contacting hello@placementflow.com.

10. Modifications

PlacementFlow reserves the right to modify these Partner Terms at any time. We will notify active partners of material changes via email with at least 30 days' notice. Your continued participation in the Partner Program after the effective date of changes constitutes acceptance of the updated terms.

Changes to commission rates will not apply retroactively to referrals made before the change takes effect.

11. Data and Privacy

As a partner, PlacementFlow will collect and process data related to your referral activities, including referral codes used, referred agencies, commission calculations, and payout records. This data is processed in accordance with our Privacy Policy.

You must not collect, store, or process personal data of referred agencies beyond what is necessary for your referral activities, and must comply with applicable data protection laws.

12. Limitation of Liability

PlacementFlow's total liability under these Partner Terms shall not exceed the total commissions paid to you in the 12 months preceding the claim. PlacementFlow is not liable for indirect, incidental, special, or consequential damages arising from your participation in the Partner Program.

13. Governing Law

These Partner Terms are governed by the laws of England and Wales. Any disputes arising from these terms shall be resolved in accordance with the dispute resolution provisions in our Terms of Service.
